제1조 (목적 및 정의)
본 약관은 Othep Networks Inc.(이하 "회사")가 제공하는 MatchingGo 서비스의 이용 조건, 권리·의무 및 면책 사항을 규정합니다. 회사는 거래 성사를 위한 기술적 중개 플랫폼(Venue)만을 제공하며, 브랜드와 크리에이터 간 계약의 당사자가 아닙니다.
제2조 (중개자 면책)
회사는 브랜드와 크리에이터를 연결하는 시스템적 장소만을 제공합니다. 콘텐츠 품질, 납기, 지적재산, 광고 표기, 세금·결제 분쟁 등 거래상 책임은 양 계약 당사자에게 귀속됩니다.
제3조 (수수료 및 결제)
브랜드는 협의 금액(캠페인 대금)에 더해 플랫폼 중개 보증 수수료 15%를 별도로 지불합니다(에스크로 총액 = 협의금 × 115%). 크리에이터는 가입·등록은 무료이며, 정산 시 협의금에서 플랫폼 수수료 7%가 차감된 후 지급됩니다(수령액 = 협의금 × 93%). Stripe 결제 수수료(약 2.9% + $0.30) 및 해당 법역 세금이 결제 단계에 합산될 수 있습니다.
제3-2조 (플랫폼 내 거래 의무 및 우회 금지)
모든 협상·연락·결제는 MatchingGo 앱 내에서만 진행해야 합니다. 플랫폼 외 직접 연락·오프플랫폼 거래·직접 송금을 유도·체결하는 행위는 금지됩니다. 수수료 우회를 위한 연락처 공유·직거래 시 메시지 차단, 정산 보류, 계정 이용 제한이 적용될 수 있습니다.
제4조 (분쟁 및 당사자 간 소통)
분쟁이 발생하면 당사자 간 직접 협의·해결을 원칙으로 합니다. 플랫폼은 앱 내 메시징·협업 기록·에스크로 정보 제공만을 지원하며, 중재·판정·분쟁 해결 결과에 대한 책임을 지지 않습니다.
제5조 (광고 표기 및 준법)
크리에이터는 미국 FTC(#Ad, #Sponsored 등) 및 한국 공정거래위원회 광고 표시 지침을 준수해야 합니다. 표기 누락으로 인한 제재·손해는 해당 크리에이터의 책임입니다.
제6조 (제3자 로그인·SNS 연동)
서비스는 회원가입·크리에이터 온보딩 시 Google(YouTube), Meta(Instagram), TikTok, 네이버 블로그 등 제3자 로그인·연동을 선택적으로 제공합니다. 이용자가 연동을 선택한 경우에만 해당 플랫폼의 OAuth·Login Kit이 적용됩니다. 회사는 이용자 대신 SNS에 콘텐츠를 게시하거나 계정을 조작하지 않습니다. 연동으로 수신한 프로필·공개 채널 정보는 계정 확인, 프로필 표시, AI 매칭·협업 제안 목적으로만 사용합니다. @계정명·URL을 수동 입력하는 경우 해당 플랫폼 OAuth 토큰 없이 공개 정보만 저장할 수 있습니다. 제3자 플랫폼 이용에는 각 플랫폼의 약관·정책이 적용되며, 데이터 처리는 개인정보처리방침을 따릅니다.
제7조 (약관 변경)
회사는 약관을 사전 고지 후 변경할 수 있습니다. 중대한 변경 시 합리적 통지 기간을 둡니다. 계속 이용 시 변경에 동의한 것으로 봅니다.

1. Scope & role
Othep Networks Inc. ("Company") provides MatchingGo as a technology intermediary venue only. The Company is not a party to contracts between Brands and Creators.
2. Limitation of liability
The Company is not liable for deliverables, content breaches, payment delays, IP issues, or damages arising from transactions between users.
3. Fees & payments
Brands pay the negotiated collaboration fee plus a 15% platform intermediary fee (115% escrow total). Creators join for free; a 7% platform fee is deducted from the negotiated payout at settlement (93% received). Stripe fees (approx. 2.9% + $0.30) and applicable taxes may be added at checkout.
3-2. On-platform deals & anti-circumvention
All negotiation, contact, and payment must stay on MatchingGo. Off-platform contact, direct deals, or transfers are prohibited. Circumventing platform fees may result in message blocks, payout holds, and account restrictions.
4. Disputes
Disputes between users should be resolved directly between the parties. The platform provides messaging, collaboration records, and escrow information only—it does not mediate or guarantee outcomes.
5. Advertising compliance
Creators must comply with FTC disclosure rules (#Ad, #Sponsored) and applicable local advertising laws.
6. Third-party login & SNS linking
The Service may optionally offer third-party sign-in and channel linking via Google (YouTube), Meta (Instagram), TikTok Login Kit, and Naver Blog during registration and creator onboarding. Linking occurs only when you choose it. We do not post content or act on SNS accounts on your behalf. Data received via OAuth is used only for verification, profile display, and AI matching. Manual @handle or URL entry may store public info without OAuth tokens. Each platform's terms and policies also apply. See our Privacy Policy for data handling.
7. Changes
We may update these Terms with reasonable notice. Continued use constitutes acceptance of material changes.
